What Is a Certificate of Good Standing?

Certificate of Good Standing is an official document issued by Companies House confirming that a limited company:

  • Exists legally and is active
  • Has filed all statutory documents (e.g. accounts, confirmation statements)
  • Has no outstanding filing obligations
  • Has at least one active director (as required by law)

It serves as proof that your company is compliant with UK corporate regulations and continues to trade as a legitimate business.


When Do You Need One?

You may need a Certificate of Good Standing when:

  • Opening a business bank account (especially abroad)
  • Applying for overseas tenders or contracts
  • Registering a branch or subsidiary outside the UK
  • Seeking investment or satisfying due diligence checks
  • Working with a UK solicitor or notary in cross-border transactions

What Information Appears on the Certificate?

A standard Certificate of Good Standing typically includes:

  • Company name and registration number
  • Confirmation that the company is up to date with its filings
  • Statement that the company hasn’t been dissolved or struck off
  • Details of company officers (if requested)
  • Statement of continued incorporation under the Companies Act

You can also request optional custom clauses, such as confirmation of share capital, registered office address, and director names — useful for international use.

Limitations of a Certificate of Good Standing

While useful, this certificate:

  • May not be accepted on its own abroad – In most cases, it needs to be legalised by apostille or even further embassy attestation.
  • Doesn’t confirm solvency – It doesn’t state whether your company is financially sound.
  • Is time-sensitive – Typically valid for 3–6 months, depending on who’s requesting it.
