Terms and Conditions for Identity Verification Services

1. Introduction

Edward Young Limited (“EYL”) provides identity verification services (the “Services”) to Clients in accordance with the Economic Crime and Corporate Transparency Act 2023 (“ECCTA”), the Companies Act 2006 (“CA”), and applicable Regulations and Guidance. These terms and conditions govern the use of the Services.

Please note the limitations of liability in Clause 18. These terms apply to all current and future instructions for identity verification services unless otherwise agreed in writing.

3. Parties Involved

The Client, Instructing Party and Individual may be the same or distinct persons. Where instructions are provided by an agent, the agent warrants authority to bind the Client to these terms. Duties are owed solely to the Client.


4. Scope of Services

EYL shall provide identity verification in accordance with the relevant Guidance, Rules and Regulations. Verification is achieved through document authentication, digital ID checks and/or vouching as permitted.

Evidence of change of name may be required if applicable. 

No verification will be confirmed without review of original or certified ID documents, and EYL will rely on the identity document over any conflicting information received.  EYL will use it’s sole discretion as to the veracity of ID documents. 


5. Accuracy of Information

It is the Client’s responsibility to provide complete, accurate, and up-to-date information. The Individual will be asked to confirm the accuracy of the data submitted.

EYL  will  use the name in the Client/Individual/Instructing Party’s identity document to complete the identity verification if there is a discrepancy between the information received by ELY and the name showing on the Client/Individual/Instructing Party’s identity document. 


6. No Guarantee of Verification

Verification is subject to EYL’s professional judgment. If verification is not achieved to EYL’s satisfaction, no statement will be submitted to Companies House. Fees remain payable in such cases.


7. Confidentiality

Both parties shall keep all confidential or proprietary information strictly confidential unless disclosure is required by law, regulation, or enforcement request.


8. Fees and Payment

Fees are exclusive of VAT. EYL may issue an initial invoice prior to commencement and may decline to begin work until settled. Interest may be charged on late payments at 4% above the Bank of England base rate.


9. Billing Terms

Further invoices may be issued where additional work is required. Verification statements may be withheld pending full payment.


10. Document Handling

EYL does not offer physical document storage and reserves the right to destroy submitted originals. Digital identity documentation will be retained for seven years.


11. Group Instructions

These terms apply to connected companies or subsidiaries where instructions are provided on their behalf.


12. Intellectual Property

All documents and materials remain the intellectual property of EYL. Reproduction or reuse without consent is prohibited.


13. Instructions and Information

Clients are expected to provide timely, complete disclosure of all relevant facts required for the Services.


14. Communications

EYL uses antivirus tools and spam filters but cannot guarantee delivery or receipt of emails. We are not liable for any missed communications caused by technical barriers.


15. ECCTA Compliance

Compliance with ECCTA remains the responsibility of the Client/Individual/Instructing Party. EYL accepts no liability in this respect.


16. Delays or Refusals

EYL gives no guarantee on verification turnaround times. Re-verification requests from Companies House are treated as new services. Services will not be provided for individuals subject to UK, EU or UN financial sanctions.


17. Refund Policy

If an Individual cannot be verified and Services were commenced, no refund shall be issued. EYL will not be liable for any resulting losses.


18. Limitations of Liability

EYL shall not be liable for indirect, economic or consequential loss. Liability to the Client is capped at £1,000. No liability is accepted for third parties including associated companies or individuals.

These limitations are integral to the pricing structure and deemed fair and reasonable.


19. No Third Party Rights

These terms confer no rights under the Contracts (Rights of Third Parties) Act 1999.


20. Use of Name or Logo

No party shall use the name or logo of EYL in its marketing unless consent is given.


21. Data Protection

Data collected will be processed in accordance with EYL’s Privacy Notice.


22. Complaints

Concerns should be raised promptly with your case handler or referred to our complaints policy.

Our aim is to offer all our clients an efficient, friendly and effective service. Our clients and our staff are of first importance to us. We hope that you will be pleased with the work that we do for you, however, if you have any queries or concerns please take them up first with our complaints manager.

All firms of notaries are obliged to attempt to resolve problems that clients may have with the service provided. It is therefore important if you have any concerns that you immediately raise these with us.

If that does not resolve the matter to your satisfaction then you are entitled to take it up with our regulator, the Faculty Office, 1 The Sanctuary, London. SW1P 3JT. If we cannot resolve the matter between ourselves and if the Faculty Office or the Notaries Society cannot bring matters to a suitable conclusion then you are entitled, after an 8 week period, from making the complaint with me, to complain directly to the Legal Ombudsman PO Box 6167 Slough SL1 0EH.

23. Governing Law and Jurisdiction

These terms are governed by English law. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
